1. About Rinik Tech Company Limited

Rinik Tech Company Limited ("Rinik Tech", "the Company", "we", "us", or "our") is a technology and digital publishing company registered in Nigeria, with offices at 10 Adeshina Adenuga Street, Ago, Lagos, Nigeria.

We operate KP Novel and a family of digital publishing platforms, providing services for reading, writing, and publishing original stories and literary content online.

2. Eligibility & Account Registration

To use certain features of our platforms, you must create an account. By creating an account, you confirm that:

• You are at least 13 years of age. Users under 18 must have parental or guardian consent.
• All information you provide during registration is accurate, current, and complete.
• You will maintain the accuracy of your account information and update it as necessary.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You will notify us immediately at info@riniktech.com of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

3. Acceptable Use Policy

You agree to use our platforms only for lawful purposes and in accordance with these Terms. You must not:

3.1 Prohibited Content

• Publish or share content that is defamatory, obscene, hateful, or discriminatory.
• Post content involving the sexual exploitation or abuse of minors.
• Share violent, threatening, or harassing content targeting other users or individuals.
• Publish content that promotes terrorism, illegal activities, or incites violence.
• Post false, misleading, or fraudulent information.

3.2 Prohibited Behaviour

• Impersonate any person, business, or entity.
• Attempt to gain unauthorised access to our systems or other users' accounts.
• Use automated tools (bots, scrapers) to collect data from our platforms without permission.
• Interfere with or disrupt the operation of our services.
• Use our platform to send unsolicited communications (spam) to other users.
• Attempt to reverse-engineer, copy, or replicate any part of our platform.

4. Intellectual Property & Content Ownership

4.1 Your Content

You retain ownership of all original stories, articles, and content you create and publish on our platforms. By publishing on KP Novel or any Rinik Tech platform, you grant us a non-exclusive, royalty-free, worldwide licence to:

• Display, reproduce, and distribute your content on our platforms.
• Promote your content through our marketing channels, social media, and advertising.
• Format and adapt your content for display across different devices and interfaces.

This licence does not affect your ownership of your content. You may remove your content at any time by deleting it from your account, subject to any active agreements.

4.2 Rinik Tech's Intellectual Property

All platform design, software, logos, trademarks, brand names (including "Rinik Tech", "KP Novel", and all KP publications), user interface elements, and technology are the exclusive property of Rinik Tech Company Limited. You may not copy, reproduce, distribute, or create derivative works from our intellectual property without written permission.

4.3 Copyright Infringement

We respect intellectual property rights. If you believe content on our platform infringes your copyright, please contact us at info@riniktech.com with details of the alleged infringement. We will investigate and take appropriate action.

5. Writer Monetisation Terms

KP Novel offers writers various ways to earn from their content. The following terms apply to all monetisation features:

• Pay-to-Read: Writers may lock chapters behind a paywall. Revenue sharing terms will be outlined in your separate Writer Agreement.
• Writing Contests: Contest prizes and terms are announced separately for each contest. Winners are subject to verification.
• Publishing Contracts: Formal publishing deals require a separate written agreement signed by both parties.
• Adaptation Rights: Film, TV, or other adaptation rights require a separate negotiated agreement.
• Rinik Tech reserves the right to modify monetisation terms with 30 days' advance notice to affected writers.
• Earnings are subject to applicable Nigerian tax law and any applicable international tax treaties.

6. Subscription & Payment Terms

Some features of KP Novel require a paid subscription or one-time purchase. The following applies to all payments:

• All prices are displayed in the currency shown at the time of purchase.
• Payments are processed securely through authorised third-party payment processors.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are offered within 7 days of purchase if the service has not been significantly used, subject to our review.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

7. Privacy

Your use of our platforms is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

8. Platform Availability & Modifications

We strive to keep our platforms available 24/7, but we do not guarantee uninterrupted access. We reserve the right to:

• Temporarily or permanently suspend access to all or part of our services for maintenance or upgrades.
• Modify, update, or discontinue any features or services at any time.
• Limit access to certain features based on geographic location, subscription level, or other factors.

We will provide reasonable advance notice of significant changes or discontinuations where possible.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without any warranties, express or implied. To the fullest extent permitted by law, Rinik Tech disclaims all warranties including:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Guarantees that the services will be error-free, uninterrupted, or secure.
• Warranties regarding the accuracy or completeness of any content on our platforms.

User-generated content on our platform reflects the views of individual authors and does not represent the views of Rinik Tech Company Limited.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Rinik Tech Company Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

• Loss of data, profits, revenue, or business opportunities.
• Unauthorised access to or alteration of your data.
• Statements or conduct of any third party on our services.
• Any other matter relating to our services.

Our total liability to you for any claims arising from the use of our services shall not exceed the amount paid by you to Rinik Tech in the 12 months preceding the claim, or ₦50,000 (fifty thousand naira), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rinik Tech Company Limited and its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of our services in violation of these Terms.
• Content you publish on our platforms that infringes third-party rights.
• Any fraudulent or illegal activity conducted through your account.

12. Termination

We reserve the right to terminate or suspend your account and access to our services at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the public.

You may terminate your account at any time by contacting us at info@riniktech.com. Upon termination, your right to use our services will immediately cease.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation.

If negotiation fails, disputes shall be subject to the jurisdiction of the courts of Lagos State, Nigeria. You waive any objection to the exercise of jurisdiction by these courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting a notice on our platform or sending an email to your registered address. The updated Terms will take effect on the date specified in the notice.

Your continued use of our services after the effective date of revised Terms constitutes your acceptance of the new Terms. If you disagree with the changes, you should stop using our services and may delete your account.

15. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with us (such as Writer Agreements), constitute the entire agreement between you and Rinik Tech Company Limited regarding your use of our services and supersede all prior agreements.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
